1- they think he can still be a good pitcher
2- they think on hs quest for 300 he will put arses in the seats
3- and I think this is the most important. They owe him X amount of dollars of deferred money. Somehow they want to work it into a deal so they don't just pay out the money for nothing.
Also they aren't the only ones.
"The Padres have made their final offer for Johnson and are awaiting a decision by the Yankees, who are expected to unload the pitcher by the end of the week. The source close to the trade discussions wouldn't identify names but confirmed Tuesday that the Padres are offering a combination of major- and minor-league talent for Johnson. One major-leaguer is believed to be reliever Scott Linebrink, who has been dangled in potential deals since the middle of last season."
To me it is very very unlikely he gets to 300 this year regardless of who he plays for, so why not just wait till next year and sign him as a FA? I don't know. But I do know if you get more then 1 team interested thats a good thing for the Yankees

Edit to add Zona also wants RJ in the front office after his playing days. Again not sure why.
Also the fall back plan for the Padres is said to be David Wells.
